(1)要约的相对人一般都是特定的，而要约邀请的相对人是非特定的；(2)要约的内容具体确定，而要约邀请的内容一般是不确定的；(3)要约是订立合同的行为，对要约人具有约束力，而要约邀请是合同订立的预备行为，对行为人没有约束力。
