乙公司拒绝甲公司的要求是否合法?为什么?

甲公司没有履行报告和公告的义务，属非法获得乙公司的股份。甲公司所持19．80％股份中，仅5％合法，其余均为非法。甲公司取得的对乙公司的控制权是非法的，故乙公司可拒绝甲公司的要求。
