商业判断规则是指，只要董事、监事、高级管理人员是基于管理信息、善意和诚实地作出合理决议，即便事后在公司立场上看来此项决议是不正确或有害的，也无须由上述人员负责；对于此种决议，股东无权禁止、废除或者抨击非难。
