简述公司合并的含义、方式及各方债权、债务的处理。

公司合并是指两个或两个以上的公司依法达成合意归并为一个公司的法律行为。

公司合并可以采取吸收合并和新设合并两种方式。

公司合并时，合并各方的债权、债务，应当由合并后存续的公司或者新设的公司承继。&NBSP;
